About the Role: We are seeking a licensed California real estate attorney with demonstrated experience in San Francisco commercial real estate law and family limited partnerships (FLPs). The attorney will provide targeted legal analysis on whether a commercial or multifamily property in San Francisco can be legally sold “as is”, or whether seismic retrofits, facade inspections, or plumbing upgrades must be completed before transfer of title. This role involves advising on the intersection between local building code requirements and family partnership agreement terms during a time-sensitive partner withdrawal and buyout process. Clear, timely counsel is essential to prevent delays or legal exposure arising from misinterpretation of compliance obligations. Scope of Work: Provide a written legal opinion with source citations regarding: Whether San Francisco requires seismic, plumbing, or facade upgrades before a property sale can occur; Whether these compliance obligations transfer to the buyer, or must be completed pre-sale by the seller; The impact of these rules on partnership interest buyouts, trust distributions, and capital account liquidation. Review and interpret provisions from an existing family limited partnership agreement to assess alignment with San Francisco compliance procedures. Offer legal strategy to ensure buyouts or sales are executed without violating local law or triggering delays due to non-essential capital project demands. Optional: Provide memo or declaration to support legal correspondence with general partners or trustees involved in the transaction. Qualifications: Active California State Bar license in good standing. At least 2 years of experience in California real estate law, with direct knowledge of San Francisco municipal codes. Proven experience handling or advising on family limited partnerships, especially related to real estate holdings, FMV buyouts, and trust-owned interests. Familiarity with: San Francisco Building Code §110A/604 (Facade Inspection Program) San Francisco Plumbing Code §12A.9 (Residential Water Conservation Ordinance) Local seismic safety mandates for non-ductile concrete buildings Ability to deliver clear, citation-backed written findings usable in formal legal disputes or settlement negotiations.
