I need some brief legal representation for a business transaction. I wholly own both a C-corp (Acme Merino Corporation) and and an LLC (Oddjob LLC). I want to issue a call option to the C-corp to purchase the LLC for a ten year period. I have drafted a term sheet and basic call option contract, plus I have a recent 409a valuation report that helps guide the strike price. Since I wholly own both entities, I want independent legal representation for each to ensure an arms-length transaction occurs. I would like assistance by hiring a representative for each entity (Acme Merino Corporation and Oddjob LLC) to to a basic review of the call option and make a handful of of redlines (if necessary). I want to ensure I took the right steps to make sure the transaction appears arms-length if it's ever scrutinized down the road.
