We are seeking a U.S.-licensed business attorney to assist with a narrowly focused issue involving an LLC registered in New Hampshire and wholly owned by non-resident foreign nationals. As general counsel to the company, I handle intellectual property and general oversight, but I am looking to engage an attorney with experience in LLC governance to advise on the proper structuring of a unique membership arrangement. The client would like to formally admit a U.S.-domiciled individual as a member of the LLC, solely for practical purposes. The individual would have no management authority, voting rights, or economic interest in the company.
